Manner of representation

The company may be represented externally and declarations may be submitted on behalf of the company as follows: 1. In the case of appointment of a one-person management board: the President of the Management Board independently. 2. In the case of appointment of a management board consisting of at least two members: A) the President of the Management Board or Vice-President of the Management Board: for disposing of a right or incurring property obligations up to a performance not exceeding PLN 1,000,000, and acts authorising such actions within the above scope, independently; for disposing of a right or incurring property obligations involving a performance exceeding PLN 1,000,000, and acts authorising such actions within the above scope, jointly, by two persons; for other actions, independently. B) a member of the management board who is neither the President nor the Vice-President of the Management Board: for disposing of a right or incurring property obligations up to a performance not exceeding PLN 50,000, and acts authorising such actions within the above scope, independently; for disposing of a right or incurring property obligations involving a performance exceeding PLN 50,000 and at the same time not exceeding PLN 1,000,000, and acts authorising such actions within the above scope, jointly, by two persons with the President or Vice-President of the Management Board; for disposing of a right or incurring property obligations involving a performance exceeding PLN 1,000,000, and acts authorising such actions within the above scope, jointly, by three persons with the President and Vice-President of the Management Board; for other actions, jointly, by two persons with the President or Vice-President of the Management Board.
