In agreements between the foundation and a member of the management board and in disputes with such member, the foundation is represented by an attorney-in-fact appointed by a resolution of the Foundation Council. 3. In the event of the absence of the President of the Management Board and his inability to perform his duties, his powers specified in these Articles of Association shall be exercised by the Vice-President of the foundation acting jointly with a member of the management board of the foundation. 4. In the event of the death of the President of the Management Board, his powers specified in these Articles of Association shall be exercised by the Vice-President of the Management Board of the foundation independently.
