Manner of representation

Each member of the management board and the commercial proxy is independently authorised to submit declarations of will and sign documents in non-property-related matters. If the management board consists of two or more persons, each member of the management board and the commercial proxy is independently authorised to submit declarations on behalf of the company resulting in the disposal of a right whose value does not exceed the equivalent in zlotys of PLN 30,000 (thirty thousand zlotys), inclusive, or the creation of an obligation to provide a performance with an equivalent in zlotys of up to PLN 30,000 (thirty thousand zlotys), inclusive. If the management board consists of two or more persons, the joint action of two members of the management board or one member of the management board together with the commercial proxy is required to submit declarations on behalf of the company resulting in the disposal of a right whose value exceeds the equivalent in zlotys of PLN 30,000 (thirty thousand zlotys) or the creation of an obligation to provide a performance with an equivalent in zlotys of more than PLN 30,000.
