Manner of representation

To represent the foundation in all matters, including making declarations of will in property matters up to PLN 100,000, the President of the Management Board or another member of the management board designated by the President of the Management Board, or, alternatively, a person authorized by the President of the Management Board, is authorized to act on behalf of the management board. Above PLN 100,000, action by two members of the management board, including the President or Vice-President, is required. Actions concerning the disposal, exchange or encumbrance of the foundation's immovable property are undertaken in the form of a resolution by the foundation's management board, by a simple majority of votes, with at least half of its members present. In the event of an equal number of votes, the casting vote is that of the President of the Management Board.
