Manner of representation

Each member of the management board independently, or, if an independent commercial proxy has been appointed, the commercial proxy, is authorised to make declarations of will and sign on behalf of the company, subject to points 5, 6 and 7 of §17 of the company's articles of association and Article 109 of the Civil Code. For incurring obligations or disposing of rights whose value, whether in a single transaction or, in the case of periodic performances, the sum of the performances for the duration thereof but not longer than one year, exceeds PLN 200,000.00 (two hundred thousand zlotys), a prior resolution of the partners and a resolution of the company's management board adopted unanimously are required. For incurring obligations or disposing of rights whose value, whether in a single transaction or, in the case of periodic performances, the sum of the performances for the duration thereof but not longer than one year, amounts from PLN 50,000.00 (fifty thousand zlotys) to PLN 200,000.00 (two hundred thousand zlotys), a prior resolution of the company's management board adopted unanimously is required. For incurring obligations or disposing of rights whose value, whether in a single transaction or, in the case of periodic performances, the sum of the performances for the duration thereof but not longer than one year, amounts to up to PLN 50,000.00 (fifty thousand zlotys), each member of the management board independently, or, if an independent commercial proxy has been appointed, the commercial proxy, is authorised.
