Manner of representation

1. For appearing, making declarations of will and incurring obligations on behalf of the foundation, subject to paragraphs 2, 3 and 4, the President is authorised to act independently, or two members of the management board acting jointly; in matters exceeding the scope of ordinary management of the foundation’s affairs, acting on the basis of a resolution of the management board. 2. Making a declaration of will involving disposition of a right or incurring an obligation with a value exceeding PLN 20,000 requires the countersignature of the President. 3. The management board may appoint attorneys-in-fact at the level of director or manager to manage the foundation’s organisational units, specifying the scope of their power of attorney to make the declarations referred to in paragraph 1, as well as attorneys-in-fact to conduct matters specified in the power of attorney and, within this scope, to make the declarations of will referred to in paragraph 1. 4. Declarations of will concerning the performance of the employer’s duties are made by the President of the foundation or by a Vice-President of the foundation appointed by the President.
