Manner of representation

Each document requiring a signature may be signed personally by the members of the management board or they may authorize another person (the signatory) to do so. Authorization for the signatory may be granted in the form of a resolution of the management board or in the form of a power of attorney. Two authorized signatories or a member of the management board and a witness who certifies the signature will be required. An authorized signatory is each member of the company's management board and the company's secretary. On the basis of authorization granted by the management board, authorized signatories may be granted the right to sign independently, enter into agreements and undertake obligations binding on the company.
