Manner of representation

1. Each partner is entitled and obliged to independently conduct the company's affairs. 2. Each partner may, without a prior partners' resolution, conduct affairs that do not exceed the scope of the company's ordinary management. However, if, before the affair is completed, even one of the partners objects to its conduct, a partners' resolution is required. 3. Each partner may, without a prior partners' resolution, perform an urgent act whose non-performance could expose the company to losses. 4. Each partner is independently entitled to represent the company within the limits within which they are entitled to conduct its affairs. Each partner is independently entitled to represent the company, which means granting powers of attorney in judicial, administrative, tax, fiscal and inspection proceedings, as well as signing documents related to these proceedings, such as statements of claim, pre-litigation demands, authorisations for inspections, decisions to initiate proceedings, inspection reports and decisions; representation by at least one partner is required. 5. Obligations or expenditures exceeding PLN 50,000.00 do not fall within the scope of the company's ordinary management. Acts exceeding the scope of the company's ordinary management in an amount exceeding PLN 50,000.00 require joint representation by two partners.
