Manner of representation
To submit declarations of will on behalf of the company, in the case of a multi-member management board, the President of the Management Board is authorised to act independently and the Vice-President is authorised to act independently, or the joint action of two members of the management board is required, or the joint action of one member of the management board together with a commercial proxy is required. In the case of a one-person management board, declarations of will on behalf of the company are submitted by the President of the Management Board acting individually. Disposal of a right or incurring an obligation with a value exceeding PLN 100,000 requires the consent of the partners expressed in the form of a resolution.
