Manner of representation

1. In matters of ordinary management, the management board independently represents the S.O.D., including in judicial, administrative and tax matters. 2. In particular, the following acts exceed the scope of ordinary management: 2.1. acquisition and disposal of real estate or the right of perpetual usufruct, 2.2. establishment of a limited right in rem, 2.3. conclusion of a credit or loan agreement, 2.4. assumption of debt, acknowledgement of debt, release from debt, accession to debt, conclusion of a surety agreement or conclusion of another similar agreement, 3. After the general meeting of the management board has approved the management board’s application, the management board may incur property liabilities on behalf of the S.O.D. 4. In the matters specified in section 1, the President of the Management Board (Vice-President), jointly with another member of the management board, is authorised to make declarations of will on behalf of the S.O.D., including to appoint attorneys-in-fact for legal proceedings. 5. Declarations of will on behalf of the S.O.D. are made after the management board of the S.O.D. has consented to the act by way of a resolution.
