Manner of representation

Each partner is entitled and obliged to conduct the affairs of the company and represent it. Each partner may, without the prior consent of the partners, independently conduct affairs that do not exceed the scope of the ordinary activities of the company. However, if, before such matter is completed, even one of the other partners objects to its conduct, a partners’ resolution is required. Matters exceeding the scope of the ordinary activities require the consent of all partners expressed in the form of a resolution. Each partner may, without a prior partners’ resolution, perform an urgent act whose omission could cause serious harm to the company. The partners may establish. This act requires the consent of all partners. Each partner may revoke the commercial proxy authority. An amendment to the company agreement requires unanimity of all partners.
