Manner of representation

The company is represented by the general partner – Mega Group sp. z o.o. – independently. The management board of the general partner has two members and consists of the President of the Management Board – Krzysztof Marchlik – and the member of the management board Jose Rodriguez. Method of representation of the general partner: in the case of a one-person management board, declarations on behalf of the company are made by the member of the management board. In the case of a management board consisting of two or more persons, declarations on behalf of the company require the joint action of two members of the management board or one member of the management board jointly with a commercial proxy. For making declarations of will up to the amount of PLN 5,000 (five thousand zlotys) on behalf of the applicant company, the management board of the general partner – Mega Group sp. z o.o. – is authorised to act independently, and an independent commercial proxy is authorised to act independently. For making declarations of will exceeding the amount of PLN 5,000 (five thousand zlotys) on behalf of the applicant company, the management board of the general partner – Mega Group sp. z o.o. – is authorised after first obtaining the consent of the other partners expressed in the form of a resolution adopted by an absolute majority of votes, provided that each partner is given the opportunity to cast a vote. In each case, the company may be represented independently by an independent commercial proxy.
