Manner of representation

The right to represent the company vis-à-vis third parties is vested in each of the partners independently or in the commercial proxy independently. The partner's right to represent the company covers all judicial and extrajudicial acts. Each partner may also independently make declarations of will, sign documents and conclude agreements on behalf of the company. In matters exceeding the scope of the ordinary activities of the company, the consent of all partners is required. In particular, the following are deemed to be matters exceeding the scope of ordinary management: a) incurring obligations or disposing of a right to a performance with a value exceeding PLN 100,000.00 (one hundred thousand zloty); b) selling, leasing or encumbering the company's business.
