Manner of representation

The company is represented by the general partner. As a rule, each general partner may represent the company independently, subject to point 18.2 below. 18.2. Representation of the company requires the joint action of two general partners, namely Matylda Gawor and Wojciech Ziobrowski, or Matylda Gawor and Szymon Ziobrowski, when performing the following acts on behalf of the company: 1. granting or taking out a loan, credit facility or guarantee above the amount of PLN 20,000.00; 2. acquiring or taking up shares or interests in a capital company, forming or joining a partnership; 3. acquiring, disposing of or encumbering real property, the right of perpetual usufruct, an interest in real property or in the right of perpetual usufruct; 4. disposing of or leasing the company’s enterprise or its organised part and establishing usufruct thereon; 5. issuing or guaranteeing a bill of exchange; 6. entering into, amending or terminating a lease, tenancy or lending-for-use agreement. 18.3. A limited partner is not entitled to represent the company.
