Manner of representation

1. In the case of a one-person management board, the President of the Management Board of the foundation is independently authorised to make declarations of will and sign documents on behalf of the foundation, and in the case of a multi-member management board, the President of the Management Board of the foundation together with a member of the Management Board of the foundation or the President of the Management Board of the foundation together with a commercial proxy. 2. The foregoing does not prejudice the rights of an independent commercial proxy. 3. Disposal of a right or incurring an obligation to perform with a value exceeding PLN 1,000,000.00 (one million Polish zlotys) requires resolutions adopted by the Founders’ Council by a simple majority of votes, subject to paragraph 4 below. 4. The right established by these articles of association permits ex post approval by the Founders’ Council of acts performed by the foundation’s management board without the prior written consent under paragraph 3 above, provided that they were performed at the risk of the management board from its own funds, which the management board will recover only after their approval by the Council.
