Manner of representation

- The President of the Management Board is always entitled to represent the foundation independently in any matter, including, in particular, to submit declarations of will on behalf of the foundation. The President may grant a selected person written authorisation entitling that person to represent the foundation in the matter to which the authorisation relates. - Regardless of the point above, each member of the management board is entitled to represent the foundation independently in matters: related to establishing employment relationships between the foundation and third parties, provided that the remuneration may not exceed PLN 3,500.00; related to incurring an obligation of up to PLN 3,500.00. - In the case of a multi-member management board, in the absence of the President and where there is no person authorised in writing by the President to represent the foundation, two members of the management board acting jointly are authorised to represent the foundation in any matter, including, in particular, to submit declarations of will on behalf of the foundation.
