Manner of representation
In the case of a one-person management board, declarations of will on behalf of the foundation are made independently by the President of the Management Board. In the case of appointment of a multi-member management board, declarations of will on behalf of the foundation are made jointly by two members of the management board. In the case of appointment of a multi-member management board, declarations of will on behalf of the foundation concerning acts of ordinary management may be made independently by each member of the management board. Declarations of will exceeding the scope of ordinary management are deemed to be declarations concerning the incurring by the foundation of an obligation or the disposal of a right of the foundation with a value exceeding the equivalent of PLN 50,000; in the case of continuing obligations, the value of PLN 50,000 is determined for contracts concluded for an indefinite period by taking into account a period of 3 months, and for contracts concluded for a definite period by taking into account the entire term of the contract.
