Manner of representation

If the management board is a one-person management board, the sole member of the management board is authorized independently to submit declarations and sign documents on behalf of the company. If the management board is a multi-member management board, each member of the management board is authorized independently to submit declarations and sign documents on behalf of the company. To submit declarations concerning the company's property and non-property rights and obligations and to sign on behalf of the company, as a result of which a disposition of a right or the incurring of liabilities up to a value not exceeding PLN 500,000.00 (five hundred thousand złoty) will occur, each member of the management board is authorized independently, and above this amount, in the case of a multi-member management board, joint action of two members of the management board or one member of the management board with a commercial proxy is required.
