Manner of representation

From the association’s articles of association, § 21: 10. Each member of the management board is authorized to submit declarations of will on behalf of the association independently when disposing of a right or incurring obligations up to an amount not exceeding PLN 25,000.00 (twenty-five thousand zlotys), whereas above this amount – two members of the management board acting jointly. 11. In non-pecuniary matters, as well as for performing acts in the field of labor law with respect to employees and for concluding and terminating civil-law contracts with persons employed by the association, the President of the Management Board is authorized to represent the association independently, or two members of the management board acting jointly. 12. In the current affairs of the association, in particular for signing covering letters, invoices, invitations and other documents of this type, and certifying conformity with the original, each member of the management board acting individually is authorized.
