Manner of representation

1. The following persons are authorised to represent the company: a) each member of the management board acting independently – in matters concerning dispositions or the incurring of liabilities with a value lower than PLN 10,000.00 (ten thousand zlotys); b) two members of the management board acting jointly – in matters concerning dispositions or the incurring of liabilities with a value equal to or higher than PLN 10,000.00 (ten thousand zlotys); c) a commercial proxy acting independently. 2. In matters requiring joint representation of the company in accordance with point 1 of this paragraph, when performing the act, the members of the company's management board should produce a unanimous resolution of the management board authorising the performance of that act. 3. All matters not reserved by the provisions of the Commercial Companies Code and the provisions of the company's articles of association to the competence of the shareholders' meeting fall within the scope of activity of the company's management board.
