Manner of representation

1. In the case of a one-person management board, the sole member of the management board is authorised, subject to point 4. 2. In the case of a multi-member management board, each member of the management board independently is authorised to make declarations of will and sign on behalf of the company when incurring obligations and other expenses not exceeding PLN 100,000 in an individual transaction or a series of related transactions. 3. In the case of a multi-member management board, two members of the management board acting jointly are authorised to make declarations of will and sign on behalf of the company when incurring obligations and other expenses exceeding PLN 100,000 in an individual transaction or a series of related transactions, subject to point 4. 4. Making declarations of will and signing on behalf of the company when incurring obligations and other expenses exceeding PLN 300,000 in an individual transaction or a series of related transactions requires the consent of the meeting of partners in the form of a resolution. 5. In non-property matters, each member of the management board independently is authorised to make declarations of will and sign on behalf of the company.
