Manner of representation

Each partner has the right to represent the company in the ordinary matters of the company. Each partner has the right to independently conduct the affairs of the company, including independently hiring employees pursuant to employment law and entering into civil-law contracts. Matters exceeding the scope of the ordinary matters of the company require the consent of all partners expressed in a resolution. Matters exceeding the scope of the ordinary matters of the company include, in particular: A. making decisions on the further direction of the company's development and on significant changes to the company's business activity; B. acquiring or disposing of real estate belonging to the company or encumbering it with limited rights in rem; C. admitting a new partner; D. amending the company's partnership agreement; E. incurring or extinguishing liabilities with a value exceeding PLN 20,000.00 (in words: twenty thousand zlotys 00/100), or disposing of assets of such value.
