Manner of representation

1. In matters concerning property, two members of the management board acting jointly are authorised to make declarations of will on behalf of the association and incur one-time obligations up to PLN 10,000 and periodic and continuous obligations up to PLN 50,000. 2. In order to incur obligations and conclude contracts for the association by the management board exceeding the amounts indicated in the preceding paragraph, it is necessary to obtain the audit committee’s approval of the advisability of the expenditure. In the event of a lack of consent and performance of the act, the management board shall bear disciplinary and criminal liability, as well as liability for damages under the provisions of the Civil Code.
