Manner of representation

1. Each partner has the right to represent the partnership. 2. Subject to paragraph 3, each partner is authorised to submit declarations of will and signatures on behalf of the partnership independently. 3. Two partners, or one partner together with a commercial proxy, are authorised to submit declarations of will and signatures on behalf of the partnership in the following cases: 1) disposal of and lease of the partnership’s enterprise or its organised part, and establishment of a limited right in rem thereon; 2) acquisition, disposal or encumbrance of real property or a share in real property; 3) performing a dispositive act concerning a movable or a right with a value exceeding PLN 100,000 (in words: one hundred thousand zlotys); 4) performing an obligating act requiring the partnership to render a performance with a value exceeding PLN 100,000 (in words: one hundred thousand zlotys); 5) determining the remuneration of the partners for conducting the affairs of the partnership; 6) the partnership joining other partnerships or forming such partnerships with other entities; 7) the partnership acquiring or taking up shares or stocks in companies; 8) the partnership entering into civil-law partnership agreements; 9) transformation of the partnership or merger of the partnership with another commercial company.
