Manner of representation
In the case of a one-person management board, a member of the management board is authorised to submit declarations of will and sign on behalf of the company independently, whereby the President of the Management Board, irrespective of the number of members of the management board, always has the right to represent the company independently. In the case of a multi-member management board, the President of the Management Board represents the company individually, while the remaining members of the management board represent the company jointly with another member of the management board, a commercial proxy or an attorney-in-fact designated by the company.
