Manner of representation

Each partner has the right to conduct the affairs of and represent the company. In matters exceeding the scope of ordinary management, the unanimous and joint action of all partners is required. Decisions in such matters shall be adopted in the form of unanimous resolutions passed by all partners. For the purposes of this agreement, the following activities are deemed to constitute matters exceeding the scope of ordinary management: incurring liabilities exceeding, in a single transaction, the value of PLN 50,000 (in words: fifty thousand złoty); making any other disposition of the company’s assets with a value exceeding the above-mentioned amount; concluding employment contracts with the company’s employees; and deciding on the selection of entities responsible for the company’s legal and accounting services. A partner entitled to conduct the affairs of the company may, without a resolution of the partners, perform an urgent act whose omission could cause serious damage to the company.
