Manner of representation

Each general partner, acting personally (in the case of a natural person) or through its bodies in accordance with the rules of representation (in the case of an organizational unit), is authorized to conduct the affairs of and represent the company. The general partner ZNICZPLAST spółka z ograniczoną odpowiedzialnością is represented according to the following rules: In the case of a one-person management board, the President of the Management Board is authorized to make declarations and sign independently. In the case of a multi-member management board, the following are authorized to make declarations and sign: a) the President of the Management Board independently, b) a member of the management board jointly with the President of the Management Board in all matters, including rights and obligations whose aggregate value on each occasion exceeds PLN 500,000.00, and in respect of the purchase and sale of fixed assets, regardless of the value of the fixed asset, c) a member of the management board independently in all other matters than those indicated in point b) above, regardless of the value of the transaction or obligation.
