Manner of representation

The following are authorised to make declarations of will and dispose of rights and incur obligations on behalf of the company: 1. In the case of a one-person management board – the President of the Management Board acting independently; 2. In the case of a two-person management board: a. each member of the management board acting independently – in the case of acts resulting in the disposal of a right or the incurring of an obligation with a one-off value equal to or less than PLN 20,000.00; b. both members of the management board acting jointly – in the case of acts resulting in the disposal of a right or the incurring of an obligation with a one-off value exceeding PLN 20,000.00; 3. In the case of a management board consisting of three or four persons: a. each member of the management board acting independently – in the case of acts resulting in the disposal of a right or the incurring of an obligation with a one-off value equal to or less than PLN 20,000.00; b. two members of the management board acting jointly – in the case of acts resulting in the disposal of a right or the incurring of an obligation with a one-off value exceeding PLN 20,000.00 but less than PLN 50,000.00; c. three members of the management board acting jointly – in the case of acts resulting in the disposal of a right or the incurring of an obligation with a value equal to or greater than PLN 50,000.00.
