Manner of representation

The company is represented independently by the general partner, subject to the cases specified in § 10 section 2 of the partnership agreement. The general partner represents the company jointly with a commercial proxy if: a) an obligation of the company or toward the company arises, the value of which, expressed in Polish złoty at the time of performance, exceeds PLN 5,000.00 (in words: five thousand złoty), and in the case of continuous or periodic services with a performance period longer than one year, if the monetary value of the obligation for one year exceeds PLN 10,000.00 (in words: ten thousand 00/100 złoty). The above limitations do not apply to the conclusion of agreements concerning the accounting services of the company, operation of the company's bank account, rental of premises/building for conducting the company's business, including agreements for the supply of utilities to such premises/building, agreements for the provision of telecommunications services, agreements for the provision of Internet access services, agreements for maintaining the domain and website, agreements for the purchase of office materials and equipment, agreements related to business trips of the company's partners and employees, agreements concerning promotion, marketing and advertising, and agreements for the supply of materials (raw materials) for the production of wooden products; b) the company's economic copyrights and related rights, patent rights or additional protection rights to inventions, protection rights to utility models and trademarks, as well as registration rights to industrial designs, topographies of integrated circuits and geographical indications, are disposed of; c) the company becomes a partner in another company; merges with another company, whether a company with share capital or a partnership; acquires, disposes of or encumbers participation rights in another company with share capital; transfers all or part of the rights and obligations in another partnership; d) the company becomes a guarantor for an obligation of another natural or legal person, including an imperfect legal person; e) an act is performed with a foreign entity that does not have its registered office in the Republic of Poland.
