Manner of representation

Each of the partners may represent the company independently; this applies to all judicial and extrajudicial acts, except where a unanimous resolution of the partners is required for: the disposal or leasing of the company's enterprise or an organised part thereof and the establishment of a limited real right over them; the acquisition, disposal or encumbrance of real estate or a share in real estate; carrying out a disposal transaction concerning a movable thing or a right with a value exceeding PLN 10,000; carrying out an obligating transaction requiring the company to render a performance with a value exceeding PLN 10,000; entering into employment contracts; entering into any fixed-term contracts for a period longer than 1 year, regardless of the value and subject matter of the company's performance; entering into any indefinite-term contracts with a notice period longer than 2 months.
