Manner of representation

Each partner is entitled to represent the company. Declarations made to the company and service of documents may be effected upon one of the partners or a commercial proxy. Each partner has the right and obligation to conduct the affairs of the company independently. For the company to perform legal acts of an obligating or dispositive nature in which the value of the company's performance exceeds PLN 50,000, a prior unanimous resolution of all partners is required. In the case of periodic or continuous performances, except for agreements under which the company leases or lets its own or leased real property, the value of PLN 50,000 refers to: - the value of the company's performance for the entire term of an agreement concluded for a definite period, or - the value of the sum of periodic performances or the value of the continuous performance for a period of one calendar year–in the case of agreements concluded for an indefinite period.
