Manner of representation

In the case of a one-person management board, the foundation is represented by a member of the management board acting independently, or by an independent commercial proxy (if appointed). In the case of a multi-member management board, the joint action of two members of the management board, or of one member of the management board jointly with a commercial proxy, is required to make declarations on behalf of the foundation. The consent of the founders adopted in the form of a written resolution is required for actions exceeding the scope of ordinary management. Incurring property liabilities in an amount exceeding PLN 50,000.00 is deemed to constitute an action exceeding the scope of ordinary management.
