Manner of representation

The company (hereinafter the company) is represented by the general partner. The limited partner may represent the company only as an attorney-in-fact. The limited partner has no right or obligation to conduct the affairs of the company. The limited partner participates in conducting the affairs of the company only to the following extent: the consent of the limited partner is required in all matters exceeding the scope of ordinary activities of the company, which include: 1. disposal of or lease of the enterprise or an organised part thereof, and establishment of limited rights in rem thereon; 2. acquisition, disposal or encumbrance of real estate or a share in real estate; 3. performing a dispositive act concerning a movable thing or a right with a value exceeding PLN 100,000 (in words: one hundred thousand złoty); 4. performing an obligational act requiring the company to render a performance with a value exceeding PLN 100,000 (in words: one hundred thousand złoty); 5. hiring employees by the company; 6. granting or taking out a loan, credit facility or guarantee; 7. joining other civil-law partnerships by the company or establishing such partnerships with other entities; 8. acquiring or taking up by the company shares or stocks in companies; 9. transforming the company or merging the company with another commercial company.
