Manner of representation

1. To submit declarations on behalf of the foundation, the management board is authorised, acting: - independently in the case of incurring liabilities or making an expenditure in an amount not exceeding PLN 10,000 excluding VAT per instance, and in the case of continuing services calculated for a one-year period; - in the case of incurring liabilities or making an expenditure in an amount exceeding PLN 10,000 excluding VAT per instance but not exceeding PLN 50,000 excluding VAT, and in the case of continuing services calculated for a one-year period, by two members of the management board jointly submitting a declaration of will; - in the case of incurring liabilities or making an expenditure in an amount exceeding PLN 50,000 excluding VAT per instance, or in the case of continuing services calculated for a one-year period, by two members of the management board jointly submitting a declaration of will with the consent of one member of the foundation council. 2. In matters other than property matters, the foundation is represented independently by one member of the management board.
