Manner of representation

1. In the case of a one-person management board, declarations on behalf of the company are made independently by a member of the management board or a commercial proxy. 2. In the case of a multi-member management board, the members of the management board are authorised to represent the company as follows: 1) in the case of disposing of a right or incurring obligations with a value not exceeding PLN 2,000,000.00 (two million zloty), as well as representing the company in non-property matters, the company may be represented independently by each member of the management board or by a commercial proxy independently; 2) in the case of disposing of a right or incurring obligations with a value exceeding PLN 2,000,000.00 (two million zloty), joint action by two members of the management board or joint action by a member of the management board with a commercial proxy is required; 3) in the case of disposing of a right or incurring obligations with a value exceeding PLN 10,000,000.00 (ten million zloty), joint action by two members of the management board with a commercial proxy is required; provided that, in the case of continuing obligations, the sum of the performances for the entire duration of the obligation relationship, but not longer than 1 (one) year, is taken into account to determine the value of the performance.
