Manner of representation

1. Each partner has the right and obligation to represent the partnership independently in matters within the scope of ordinary management. In these matters, the partner also has the right and obligation to conduct the affairs of the partnership independently. 2. In the following matters, a resolution of all partners shall be required for conducting the affairs of the partnership and for its representation: legal acts exceeding the scope of ordinary management, namely: - performing a legal act with a value exceeding PLN 30,000, with foreign currencies to be converted according to the average exchange rate of the National Bank of Poland as at the date of performing the legal act; - performing a legal act obliging the partnership, regardless of the remaining provisions of the agreement, to render any performance more than 1 year after the date of performing the legal act; - releasing a debtor of the partnership from a debt; - incurring a loan or other similar obligation with banks and financial institutions; - legal acts to which any of the partners has objected.
