Manner of representation

Authorised to submit declarations of will on behalf of the company and to represent it is: a) in the case of a one-person management board – the member of the management board independently; b) in the case of a multi-member management board: (i) each member of the management board independently with respect to disposing of a right or incurring obligations up to the amount of PLN 30,000.00 (thirty thousand zloty), or the equivalent of this amount in another currency, calculated using the last average exchange rate of the National Bank of Poland published before the date of disposing of the right or incurring the obligation, calculated excluding goods and services tax; with respect to disposals or obligations of a continuous nature, the value of the performance for a one-year period is aggregated, and if the disposal or obligation was made for a period shorter than one year, the value of the performance for the entire period is aggregated; (ii) in all other respects, two members of the management board jointly, or one member of the management board jointly with a commercial proxy.
