Manner of representation

The general rule in the process of decision-making by the directors is that each decision of the directors must be made by a majority of votes at a meeting, or by written resolution of the directors in accordance with the provisions of Article 8 (written resolutions of the directors), or otherwise by a unanimous decision made in accordance with the provisions of Article 7 (unanimous decisions). If, at a given time, the company has only one director and none of the provisions of the articles requires the appointment of more than one director, this general rule will not apply, and the director will be able, for as long as he is the sole director, to make decisions without taking into account the provisions of the articles concerning the process of decision-making by the directors. Subject to the provisions of the articles, each director participating in a meeting of the directors has one vote.
