Manner of representation

The general partner, namely the company under the name STANDART ARCHITEKCI limited liability company with its registered office in Kraków, acting through its duly authorised representatives, is authorised to represent the entity. The following persons are authorised to represent the general partner and conduct its affairs: 1. in the case of a one-person management board – each member of the management board acting independently; 2. in the case of a multi-member management board – if the value of the transaction does not exceed PLN 5,000.00 (five thousand złoty), each member of the management board acting independently, whereas if the one-off value of the transaction is equal to or exceeds PLN 5,000.00 (five thousand złoty), and with respect to non-pecuniary rights and obligations, two members of the management board acting jointly or one member of the management board acting jointly with a commercial proxy, provided that the President of the Management Board, if appointed, may always act independently. In the case of incurring continuous obligations, the threshold referred to in point 2 above is determined on the basis of the total value of all pecuniary performances. If the company is to be a party to a continuous obligation for an indefinite period or lasting longer than one year, the value of the pecuniary performances for a period of one year is taken into account in determining the appropriate representation of the company.
