Manner of representation

The right to conduct the affairs of the partnership and represent it vis-à-vis third parties is vested in the general partners. The general partners may make declarations of will, sign documents and enter into agreements on behalf of the partnership, acting jointly, if more than one general partner participates in the partnership. If one general partner participates in the partnership, that general partner is entitled to conduct the affairs of the partnership and represent it in all matters vis-à-vis third parties. The general partner of the partnership is JM spółka z ograniczoną odpowiedzialnością, with its registered office in Chełm, which is represented by the management board. In the case of a one-person management board, declarations on behalf of the company are made by a member of the management board. In the case of a management board consisting of two or more persons, joint action by two members of the management board or by one member of the management board jointly with a commercial proxy is required to make declarations on behalf of the company. The persons authorised to represent the general partner–JM spółka z ograniczoną odpowiedzialnością–are member of the management board Waldemar Kowalski and member of the management board Rafał Dziewa.
