Manner of representation

A member of the management board serving as President of the Management Board is authorised to make declarations of will on behalf of the foundation independently, subject to the necessity of obtaining the founder's consent for each act of the management board whose subject matter has a value of at least PLN 10,000 and which consists in disposing of or encumbering real property or movable property, disposing of a right or incurring an obligation to render a performance, or spending monetary funds, except for acts provided for in the budget and action plans. Members of the management board are authorised to make declarations of will on behalf of the foundation acting jointly. For a declaration of will made by members of the management board on behalf of the foundation to be effective, the joint action of at least two members of the management board is required (this does not apply to a member of the management board serving as President of the Management Board).
