Manner of representation

For making declarations of will on behalf of the company: a) where the management board consists of one person, the member of the one-person management board is authorised; b) where the management board consists of several members: in the case of acts resulting in the assumption of an obligation, disposal of a right or encumbrance of a right with a value not exceeding the PLN equivalent, as at the date of the act, of EUR 3,000.00 (three thousand euros), each member of the management board is authorised; in the case of acts resulting in the assumption of an obligation, disposal of a right or encumbrance of a right with a value exceeding the PLN equivalent, as at the date of the act, of EUR 3,000.00 (three thousand euros), but not exceeding the PLN equivalent, as at the date of the act, of EUR 4,000.00 (four thousand euros), joint action by two members of the management board or by one member of the management board together with a commercial proxy is required; in the case of acts resulting in the assumption of an obligation, disposal of a right or encumbrance of a right with a value exceeding the PLN equivalent, as at the date of the act, of EUR 4,000.00 (four thousand euros), joint action by all members of the management board is required.
