Manner of representation

1. Declarations of will on behalf of the foundation in matters unrelated to incurring property obligations shall be made independently by each member of the foundation’s management board. 2. Declarations on behalf of the foundation in matters related to incurring property obligations up to the amount of PLN 10,000.00 may be made independently by each member of the foundation’s management board, excluding a member of the foundation’s management board who is simultaneously a shareholder, a partner in a company, or a person conducting business activity, where they are a party to the agreement. 3. For declarations of will on behalf of the foundation in matters related to incurring property obligations above the amount of PLN 10,000.00, the foundation must be represented by two members of the foundation’s management board acting jointly, excluding a member of the foundation’s management board who is simultaneously a shareholder, a partner in a company, or a person conducting business activity, where they are a party to the agreement. 4. In the event of purchasing goods or services from entities in which members of the foundation’s management board, founders, or persons close to them participate, declarations of will on behalf of the foundation shall be made in accordance with the principles set out in points 2 and 3. 5. In matters related to employing employees, the President of the Management Board of the foundation and the members of the foundation’s management board are authorised to make declarations of will as follows: a) when concluding employment contracts with persons who are not members of the foundation’s management board, the declaration of will on behalf of the foundation shall be made by the President of the Management Board of the foundation; b) when concluding an employment contract with a member of the foundation’s management board, the declaration of will on behalf of the foundation shall be made by the President of the Management Board of the foundation; c) when concluding an employment contract with the President of the Management Board of the foundation, the declaration of will on behalf of the foundation shall be made by two of the remaining members of the foundation’s management board.
