Manner of representation

The governing body of the company is the company director. The company director has the right to make decisions in all matters not falling within the exclusive powers of the partner. The company director conducts the day-to-day management of the company's activities. Within the scope of his powers, without an attorney-in-fact, he acts on behalf of the company, including representing the company's interests (also in the governing bodies of other legal persons of which the company is a member). He represents the company without an attorney-in-fact before state authorities, legal persons and natural persons. He makes decisions concerning the establishment and liquidation of the company's representative offices and branches. Within the scope of his powers and limitations, he disposes of real property, including the company's cash. In order for the company director to finalize a single transaction or several related transactions (all taken together) with a value exceeding 1,000 US dollars according to the exchange rate of the National Bank of Belarus, the consent of the company's partner on the date of conclusion of the transaction is required.
