Manner of representation

In the case of a one-person management board, declarations of will on behalf of the foundation, in property and non-property matters, are made by the member of the management board independently. In the case of a multi-member management board, declarations of will within the scope of the foundation’s property and non-property rights and obligations are made: a) by the President of the Management Board independently, or b) by a member of the management board acting jointly with the President of the Management Board. In the case of liabilities or receivables or other benefits exceeding PLN 20,000.00 gross (twenty thousand zlotys), in order to effectively make the declarations, the consent of the council must additionally be obtained, in the case of both a one-person and a multi-member management board, excluding employment contracts and mandate contracts.
