Manner of representation

In the case of a one-person management board, the foundation is represented by the President. If the management board is multi-member, the making of declarations on behalf of the foundation requires the joint action of two members of the management board, or one member of the management board acting jointly with a commercial proxy. Incurring liabilities or entering into agreements with a value exceeding PLN 30,000 requires the consent of the entire management board and informing the Foundation Council of such agreement or liability. Incurring liabilities or entering into agreements with a value exceeding PLN 100,000 requires the consent of the entire management board and obtaining the written consent of the Foundation Council.
