Manner of representation

In the case of a one-person management board, the President of the Management Board is authorised independently and individually to make declarations of will concerning the company’s property rights and obligations, to sign contracts and to incur liabilities. In the case of a multi-member management board, each member of the management board is authorised independently and individually to make declarations concerning the company’s property rights and obligations, to sign contracts and to incur liabilities up to PLN 50,000 (fifty thousand zlotys). To make declarations concerning the company’s property rights and obligations, to sign contracts and to incur liabilities exceeding PLN 50,000 (fifty thousand zlotys), the joint action of two members of the management board or one member of the management board acting jointly with a commercial proxy is required.
