Manner of representation

1. Each partner is entitled and obliged to conduct the company's affairs and represent it. 2. Each partner may independently, without the partners' prior consent, conduct affairs that do not exceed the scope of the company's ordinary activities. The partners agree that the scope of the company's ordinary activities concerns affairs whose value does not exceed PLN 10,000. However, if, before such an affair is completed, even one of the other partners objects to its conduct, a partners' resolution is required. 3. In matters exceeding the scope of the company's ordinary activities, the consent of all partners expressed in a resolution is required. 4. Matters exceeding the scope of the company's ordinary activities include, in particular: 1) making decisions on material changes to the company's business activity, 2) admitting a new partner, 3) amending the company's agreement, 4) incurring or extinguishing an obligation with a value exceeding PLN 10,000 or disposing of assets of such value. 5. Each partner may, without a prior partners' resolution, perform an urgent act whose omission could cause serious damage to the company.
