Manner of representation

In the case of a one-person management board, the sole member of the management board independently. In the case of a management board consisting of two or more persons, the following persons are authorised to make declarations and sign documents on behalf of the company: 1. each member of the management board independently, if the act results in the incurring of an obligation or disposal of a right with a value not exceeding PLN 10,000.00 (ten thousand złoty); 2. two members of the management board acting jointly, if the act: a) results in the incurring of an obligation or disposal of a right with a value exceeding PLN 10,000.00 (ten thousand złoty), or b) constitutes an agreement for the provision of services by or for the benefit of the company of a periodic or continuous nature (regardless of the value of the agreement or c) constitutes an agreement for an indefinite period for the provision of services of a continuous or periodic nature, or d) constitutes a confidentiality agreement. In all other respects, joint action by two members of the management board or by one member of the management board together with a commercial proxy is required to represent the company.
