General partners
Manner of representation
The method of representation is specified in § 7 sections 3 and 4 of the company's articles of association: the general partners have the right and obligation to conduct the company's affairs independently, subject to the proviso that, for making declarations of will on behalf of the company and representing it externally, joint action by two general partners or by a general partner jointly with a commercial proxy is required for the following legal transactions: a) legal transactions of an obligating or disposing nature performed by the company, in which the value of the company's performance exceeds PLN 100,000.00 (in words: one hundred thousand zlotys); b) in the case of periodic or continuous performances, the value referred to in the preceding sentence refers to the value of the company's performance for the entire term of an agreement concluded for a fixed period, or to the value of the sum of periodic performances or the value of the continuous performance for one calendar year in the case of agreements concluded for an indefinite period. Section 4. Declarations made to the company and service of documents may be effected upon any one of the general partners or a commercial proxy.
